On July 30, 2026, the Board of Directors of Versant Media Group, Inc. (the “Company”) amended and restated the Company’s Code of Conduct (the “Code”). Certain provisions of the Code were reworded to improve clarity and readability, or updated to provide additional resources or guidance (e.g., by updating references to specific Company policies or relevant resources).
Substantive amendments reflect the following:
- Enhancements to the section discussing protection of the Company's intellectual property and proprietary and confidential information to clarify the meaning of the term Confidential Information, as used in the Code and Company policies, and to emphasize employee responsibilities regarding the handling of such Confidential Information (including with respect to prediction markets).
- Enhancements to the section discussing employees' right to voluntarily communicate with, report concerns to, or participate in an investigation conducted by any federal state, or local law enforcement agency.
